1. Acceptance of these terms

These Terms of Service (“Terms”) are an agreement between you and Kobolu LLC (“Kobolu,” “we,” “us”). By creating an account, joining the waitlist, or using the Kobolu app or website (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

2. What Kobolu is

Kobolu is a mobile application for sending personal international money transfers, initially from the United States to Uzbekistan, delivered to supported payout methods such as HUMO, Uzcard, and eligible Visa cards. Kobolu does not offer stored-value accounts, wallets, or balances: each transfer is paid for individually with a supported payment method at the time you send it.

Money transmission is provided through licensed partners. [PARTNER AND LICENSING DISCLOSURE — PENDING LEGAL REVIEW.] Kobolu is not a bank, and funds in transit are not deposits.

Before public launch, parts of the Service (including the waitlist and app previews) are available while transfer functionality is still being connected to our partners. Features described in the app as unavailable, illustrative, or coming soon are not commitments.

3. Eligibility

You must be at least 18 years old, reside in the United States, and use the Service for your own personal, non-commercial transfers. You may hold one account, and the information you provide must be accurate and kept up to date.

Sending money requires identity verification. You must complete verification when asked, and we may limit or decline transfers until verification is complete.

4. Your account and security

Accounts are created and secured through our authentication provider using a verified email address and phone number, with multi-factor authentication. You are responsible for keeping your sign-in methods and devices secure and for activity on your account.

The optional app passcode and Face ID / Touch ID unlock protect the app on your device only; they are not a substitute for your account credentials. Tell us immediately at support@kobolu.com if you suspect unauthorized access.

5. Transfers, quotes, and authorization

Before you send a transfer, we show you the exchange rate, our fee, the total you will be charged, the amount your recipient is expected to receive, and a delivery estimate. Quotes are time-limited: if a quote expires or its terms materially change, you must review and accept the new terms before sending.

Every transfer requires your explicit authorization (for example Face ID, Touch ID, or your passcode). We only charge you after you authorize, and we process each authorized transfer once, even if you retry after a network error.

Transfers are subject to minimum and maximum amounts, which are shown in the app. You must provide accurate recipient details; transfers sent to the recipient details you confirmed are considered delivered as instructed.

If a payout fails or is returned, the transfer is reversed and your payment is refunded to your original payment method. Delivery estimates are estimates, not guarantees; delivery can be delayed by reviews, partner availability, or recipient-side issues.

6. Fees

Kobolu charges a per-transfer fee that is displayed before you confirm each transfer. There are no subscriptions, recurring charges, or in-app purchases. Your card issuer may charge its own fees, which are not ours.

7. Acceptable use

You may only use the Service for lawful personal transfers (such as family support, gifts, personal expenses, education, or medical expenses). You must not use the Service to violate sanctions or anti-money-laundering laws, to send funds connected to fraud or illegal activity, to send money on behalf of undisclosed third parties, to probe or disrupt the Service, or to circumvent limits, rate limits, or verification.

We apply usage and rate limits in the app (including on the assistant and on submissions) to keep the Service safe and available.

8. The Kobolu Assistant (AI features)

The optional Kobolu Assistant answers questions and can prepare a transfer draft, in English, Russian, or Uzbek. It cannot authorize or send money: every transfer it prepares goes through the same review and authorization steps as any other transfer.

Assistant responses are generated by an AI model and may be inaccurate or incomplete. They are provided for convenience only and are not financial, legal, or tax advice. Using the assistant requires your separate consent to share message content with our AI provider, which you can withdraw at any time in the app.

9. Your information and license to us

You retain your rights in the information you submit (such as recipient details and assistant messages). You grant us the license needed to store and process that information to operate the Service as described in these Terms and our Privacy Policy. You confirm you have the right to share the recipient details you provide.

10. Third-party services

The Service is built on third-party providers — including authentication (Clerk), sign-in with Apple or Google if you choose it, identity verification, payment processing, payout networks, and our AI provider (Anthropic). Your use of those features is also subject to those providers' own terms, and card networks' rules apply to card payments.

11. Intellectual property

The Service, including the app, website, design, and branding, belongs to Kobolu LLC and its licensors. We grant you a personal, non-transferable, revocable license to use the app for its intended purpose. You may not copy, modify, reverse engineer, or resell the Service except where the law allows it despite this term.

12. Suspension, holds, and termination

We may pause or decline a transfer, place it in review, or restrict account features when required for verification, fraud prevention, sanctions screening, or legal compliance. Where we can, we will tell you what is needed to resolve a restriction.

You can stop using the Service at any time and request account deletion in the app (Profile → Delete account). Deletion is blocked while a transfer is still in progress or a refund is pending. After deletion, records of completed transfers are retained where financial regulations require it, with restricted access, for five years, consistent with US Bank Secrecy Act recordkeeping requirements.

We may suspend or terminate accounts that violate these Terms or create legal, security, or fraud risk.

13. Disclaimers

Except as expressly stated (including the pre-send disclosure of rate, fee, and total), the Service is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-interruption. Exchange rates change and past rates do not predict future rates.

14. Limitation of liability

To the extent permitted by law, Kobolu is not liable for indirect, incidental, special, or consequential damages, or for losses caused by events outside our reasonable control (including partner or network outages). For claims relating to a specific transfer, our total liability is limited to the amount of that transfer plus the fees you paid us for it; for all other claims, our total liability is limited to the fees you paid us in the twelve months before the claim arose.

Nothing in these Terms limits rights you have under laws that cannot be waived, including federal remittance-transfer protections that apply to your transfers. 15. Indemnification

You will indemnify Kobolu against third-party claims arising from your violation of these Terms or misuse of the Service, to the extent permitted by law.

16. Changes to these Terms

We may update these Terms as the Service evolves. For material changes we will give notice in the app or by email before the changes take effect. Continuing to use the Service after the effective date means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Florida, unless applicable consumer law gives you additional rights.
